The iNtuitons Constitution

PREAMBLE
iNtuitons, an experimental artistic club at the University of Pennsylvania, in order to attract people with diverse artistic interests and in order to provide an outlet for creative people whose ideas are too "Classical," "Avant-garde," or "Experimental" to be supported by existing groups does hereby establish this Constitution.

ARTICLE I
Section 1: Membership is open to all University of Pennsylvania affiliates who have participated in any capacity in at least one iNtuitons production.
Section 2: Affiliation with the University of Pennsylvania is a requirement for involvement in an iNtuitons production. The Board may waive this requirement for reasons that it deems appropriate.

ARTICLE II
Section 1: The Board of Governors is responsible for the continuing existence of the club.
Section 2: The Board of Governors of iNtuitons shall be composed of seven members: Chair, Vice-Chair, Secretary, Treasurer, Technical Director, and two General Board members, to be chosen not before February 1 and not after April 1 of each year by the club membership. Nominations are open to all active members and can be self-made; nominations can be made up to and including the time of the general elections. All nominations required a second.
Section 3: A valid election must involve the participation of at least two-thirds of the Board of Governors. A simple majority is necessary for all positions, except for the General Board positions for which a plurality is necessary. In the event of a tie, there will be a re-vote. If the tie persists, there will be a second re-vote and the Chair will have two votes. In the event that no candidate receives a majority when one is required, there will be a runoff between the top two vote-getters. No person may vote for a position for which he or she is nominated. Elections must be publicized at least 72 hours in advance. Board members may be re-elected once to the same position except for the Chair who may not be re-elected as Chair, but may hold any other Board position.
Section 4: The Board shall be elected in the following order: Chair, Vice-Chair, Treasurer, Technical Director, Secretary, General Board members.
Section 5: Each year's Board may officially act as the Board of Governors immediately upon its election except that the previous board shall maintain responsibility for all projects initiated during its tenure until the end of the spring semester. [Obsoleted by Amendment 1996.III]

ARTICLE III
Section 1: Duties of the Chair: to call meetings, to run elections and meetings, to attend all PAC meetings, to perform any other duties not delegated to other board members, to interpret this constitution when disputes arise over its meaning.
Section 2: Duties of the Treasurer: to represent iNtuitons at all SAC meetings and finance committee meetings, to produce a budget detailing annual expenses for the following academic year, to present it before the finance committee.
Section 3: Duties of the Secretary: to record and distribute minutes of all board meetings, to contact members regarding meetings, to keep and update a list of club membership, to handle all necessary publicity outside of specific productions, to record a brief history of each show, to update the Constitution when amended.
Section 4: Duties of the Vice-Chair: to be able to assist the Chair in all capacities, to be the official SAC representative alternate, to attend PAC meetings when the Chair cannot, to act as Chair whenever the Chair is unable to do so.
Section 5: Duties of the Technical Director: to advise, assist, and monitor the technical aspects of all productions.
Section 6: Duties of the General Board members: to perform such duties as the Board may create for them.
Section 7: The Chair, Vice-Chair, and Treasurer may, at their own discretion, designate another Board member to perform their PAC and SAC obligations. However, the Board may require that the Chair, Vice-Chair, or Treasurer perform these duties personally.

ARTICLE IV
Section 1: At a formal meeting announced at least 48 hours in advance, a two-thirds majority of the board may veto any past decision of the board and impeach a member of the board. A board member not fulfilling those responsibilities as outlined by this Constitution are grounds for impeachment.
Section 2: The Board shall be empowered to create and fill such offices within the club as may seem necessary and to fill any vacancies in its own ranks which occur during the year, and to establish such rules for its own proceeding as it may deem necessary.

ARTICLE V
Section 1: The Board shall meet at least once every month during the fall and spring semesters. A quorum consists of at least four board members. Board members have one vote except in the case of a tie where a re-vote shall be held and the Chair shall have two votes. A simple majority is required and secret ballot shall be kept if any board member should wish it.
Section 2: (deleted April 17, 1991)
Section 3: The Board shall solicit proposals for fall productions by April 15 of that year and proposals for spring productions by November 31 of the preceding year.
Section 4: The Board, by majority vote, will appoint the director for each production after the acceptance of a proposal. The board may appoint a producer or allow the director of the show to appoint one.
Section 5: The director and producer of any production may be an iNtuitons board member if they are so qualified.
Section 6: If the Chair wishes to direct any campus production the Vice-Chair will temporarily assume the duties of Chair.

ARTICLE VI
Section 1: The Constitution may only be amended by a two-thirds majority vote of the Board of Governors.
Section 2: The Constitution is to be ratified by article. Acceptance of each Article requires a two-thirds majority vote of the Board of Governors.
AMENDMENT 1995.I

In addition to the aforementioned duties, the Vice-Chair's duties shall include the maintaining of alumni lists and contacts, and the overseeing of alumni events.

AMENDMENT 1995.II

This amendement requires post-mortems to be held after all shows. The board, director, producer, and senior production staff shall be required to attend, and all others are involved with the show are encouraged to attend. The post-mortem shall evaluate both the production aspects and the artistic experiment of the performance.

AMENDMENT 1996.I

A summary of the minutes of each Board Meeting shall be made public to the General Membership within one week of the aforementioned meeting; the level of detail shall be decided upon by the Secretary.

AMENDMENT 1996.II

The Board shall hold one meeting per semester of the General Membership.

AMENDMENT 1996.III

The period between elections and the Alternative Theater Festival shall be a transition period between the incoming and the outgoing boards. During this time, the outgoing board members shall remain responsible for their respective duties. The incoming board members shall assume the duties of their respective offices at the conclusion of the Alternative Theater Festival. Furthermore, during this transition period, all decisions pertaining to any new affairs must be discussed at a joint board meeting. However, the outgoing board shall not be involved in decisions pertaining to events scheduled to occur after the transition period is complete. This Amendment obsoletes Article II, Section 5.

AMENDMENT 2005.I

If the board unanimously consents, the current chair may be elected to a second term.

AMENDMENT 2006.I

The social chair shall be responsible for coordinated all social activities and events. This includes planning/negotiating parties, food/beverages, outings, and other events.

AMENDMENT 2012.I

The position of Webmaster will be added to the Board. Duties of Webmaster: manage the online presence of iNtuitons. If deemed expedient by the Board, this position can be held along with another position. The position of PAC/TAC-e Rep will be added to the Board. Duties of PAC/TAC-e Rep: to attend PAC and TAC-e meetings.

AMENDMENT 2012.II

The positions of Social Chair and PAC/TAC-e rep may held by more than one person if deemed expedient by the board.

AMENDMENT 2012.III

Elections will be held in two parts. The first part will be a general election. Anyone who has been involved in an iNtuitons production over the academic year is allowed to vote. This election will decide on who will compose the next year's executive board. The second part will be an inter-board election for positions. Only those that will be on board for the next academic year are permitted to vote.

AMENDMENT 2012.IV

If during the general elections, more people are elected than there are technical positions on the board, the extra board members will become general board members. The number of general board members is up to the discretion of the person running elections.
